Kanyika Niobium Project Update
Globe Metals & Mining Limited (ASX: GBE) (“Globe” or “Company”) is pleased to
provide an update regarding ongoing strategic discussions concerning the Kanyika
Niobium Project (“Kanyika” or the “Project”).
The Company confirms that, given the stage and potential of the Project, it is of course
engaged in early-stage discussions with other parties regarding potential joint venture,
strategic, offtake, investment, funding and project development opportunities for
Kanyika.
Part of those discussions include confidential and incomplete negotiations with
Sinomine (Hong Kong) Rare Metals Resources Co., Limited (“Sinomine”), a subsidiary
of Sinomine Resource Group Co., Ltd, a Shenzhen Stock Exchange (SZSE:002738)
listed global mining and resource development group. Those negotiations are with
respect to a potential transaction involving the acquisition of 100% of the shares in
Globe’s UK subsidiary through which its interest in the Kanyika Project is held (the
“Potential Transaction”).
Sinomine specialises in copper, lithium and strategic minerals, with operations and
project experience across Africa, Asia, Europe and North America. As of 31 March
2026, Sinomine has net assets of approximately US$1.88 billion, revenues of
approximately US$1 billion in 2025 and net profits of approximately US$68 million.
The group supplies leading participants in the global battery and electric vehicle
supply chain.
The parties are currently negotiating the commercial terms and progressing due
diligence. No binding terms have been agreed, however discussions have been based
on a non-binding indication of interest for cash consideration of approximately US$80
million. The Company anticipates that any binding agreement would require Company
shareholder approval as a condition precedent to completion.
There is no certainty that definitive terms will be agreed, that binding transaction
documentation will be executed, or that the Potential Transaction will proceed or
complete on the proposed terms, or at all.
The other early-stage discussions referenced above are non-binding and provide
alternative pathways should the Potential Transaction not proceed.
The Company is also evaluating new mining and mineral projects. The Company is
currently reviewing several potential opportunities, although no decision has been
made to proceed with any particular transaction.
There is no guarantee that the Potential Transaction or any of the above development
or acquisition opportunities will materialise or proceed on the proposed terms, or at all.
Globe continues to progress the Kanyika Project in the ordinary course while the above
negotiations and discussions continue.
The Company will provide further updates in accordance with its continuous disclosure
obligations.
